公司法－第89條
公司財產不足清償其債務時，清算人應即聲請宣告破產。
清算人移交其事務於破產管理人時，職務即為終了。
清算人違反第一項規定，不即聲請宣告破產者，各處新臺幣二萬元以上十萬元以下罰鍰。
